STANDARD TERMS & CONDITIONS

ALL WORK UNDERTAKEN IS SUBJECT TO THE FOLLOWING STANDARD TERMS AND CONDITIONS OF BUSINESS.

The client understands that by engaging Irishwallart.com t/a Buttonbox Exhibition and Display Ltd - they are agreeing to the terms and conditions listed below.

1.0 Payment Terms 

​

1.1 100% on commencement (unless otherwise clearly stated). 

​

1.2 Payment in full should be received prior to works commencing. 

1.3 Following receipt of confirmation by the client of the project, any cancellation shall be subject to no rebate. 

2.0 Limitation of Liability 

2.1 irishwallart.com t/a Buttonbox Exhibition and Display Ltd shall not be liable to the Customer or to any third party for misrepresentation, breach of 

contract,tort or otherwise, including but not limited to loss of actual or potential revenue or profit, loss of business or business reputation, loss 

or damage to property, loss of opportunity, professional fees, costs or expenses, nor will irishwallart.com t/a Buttonbox Exhibition and Display Ltd 

be liable to indemnify the customer against any claims, actions, costs, expenses of any third party. 

2.2 Subject to clause 2.1, irishwallart.com t/a Buttonbox Exhibition and Display Ltd’s liability to the Customer for any breach of obligation shall not 

exceed the total price for the Contract Work to which the Customer’s claim relates, so that in the event of one or more claim, the aggregate 

value of such claims shall not exceed the invoiced value. 

2.3 irishwallart.com t/a Buttonbox Exhibition and Display Ltd cannot accept liability for issues that occur after the client handover.

2.4 irishwallart.com t/a Buttonbox Exhibition and Display Ltd cannot accept liability for unforseen issues that occur during the installation of any 

print or signage. Such instances include (but are not limited to) : damage by third parties, malicious sabotage or theft. 

2.5 irishwallart.com t/a Buttonbox Exhibition and Display Ltd cannot accept liability for transport to and from the client. Whilst we always strive to use 

high quality transport & freight options - there is always a small chance that equipment or items can go missing, get damaged or be stolen - 

en route. The client confirms that irishwallart.com t/a Buttonbox Exhibition and Display Ltd will not be liable for lost, stolen or damaged goods 

during transit or be liable for the consequences of this. 

3.0 Force Majeure 

3.1 No delay or failure in performance by either party hereto shall constitute default hereunder or give rise to any claim for expense, damages or 

loss if such delay or failure is caused by Force Majeure. Unless otherwise instructed by the client, irishwallart.com t/a Buttonbox Exhibition and 

Display Ltd shall recommence performance as soon as possible after the Force Majeure has ceased.

(Force Majeure shall mean an occurrence beyond the control and without the fault or negligence of the party affected and which the said party is unable to prevent or provide against by the exercise of reasonable diligence including, but not limited to: - acts of God or the public enemy; expropriation or confiscation of facilities; any form of Government intervention; war, hostilities, rebellion, terrorist activity, local or national emergency, sabotage or riots; floods, unusually severe weather conditions which could not reasonably have been anticipated; fires, road accidents, death or serious injury to a team member, explosions or other catastrophes; national or district strikes or any other concerted acts of workmen or other similar occurrences other than strikes or concerted acts of the Supplier’s workforce).

4.0 Dispute Resolution 

4.1 The parties shall attempt to resolve any dispute arising out of or relating to this contract through negotiations between senior executives  of the parties, who shall have authority to settle the same. If the matter is not resolved by negotiation within 30 days of receipt of a written ‘invitation to negotiate’ the parties will attempt to settle it by mediation with a third party mediator agreed upon by both parties. 

5.0 Other Terms 

5.1 Any recommendations made by irishwallart.com t/a Buttonbox Exhibition and Display Ltd will be based on information supplied by the client. We cannot accept liability for recommendations given as a result of incomplete information. 

5.2 All work is undertaken in good faith and its successful completion must depend, among other things, on the effective co-operation of the client and of the client’s staff. 

5.3 Client approval and acceptance will be sought for ‘sign-off’ on completion of the various stages of the project.  irishwallart.com t/a Buttonbox Exhibition and Display Ltd cannot accept liability for any design changes, errors or omissions identified following client sign-off and likewise will not be liable for any subsequent production costs. 

5.4 If the client has produced artwork files for print - irishwallart.com t/a Buttonbox Exhibition and Display Ltd cannot accept liability for any errors or omissions and it is the responsibility of the client to ensure that artwork files are ready for print.

5.5 irishwallart.com t/a Buttonbox Exhibition and Display Ltd does not work on an exclusive basis, unless such a basis has  been previously agreed with the client and supported by a retainer fee.

5.6 irishwallart.com t/a Buttonbox Exhibition and Display Ltd or its employees or agents shall not be required to work in any hazardous or dangerous situations and we shall have absolute discretion in deciding whether any situation is hazardous or dangerous and reserve the right to withdraw our services in this eventuality. 

5.7 The client agree’s to allow irishwallart.com t/a Buttonbox Exhibition and Display Ltd to use imagery of the project on various marketing material including websites and brochures before, during and after the exhibition.

5.8 This Contract and all its terms shall be governed by the law & courts of the Republic of Ireland.
